Ford, G2 Sy, Dear Louie: Sometime ago the bonds which you held in the old Ogden Rapid Transit Company were deposited with a Bondhold-~ ers Committee for the purpose of protecting your interests in a contemplated foreclosure of ths Company. Since that time the Railroad has been through recelvership and has been bid in and reorganized by the bondholders who deposited their bonds for this purpose, The interest of those bondholders who did not join with the others for the purpose of bidding in the Road was, as usual, paid for by those who joined together and bought the Road. Without going into detail, your account has been charged with $559.19 as your pro rata interest in the stock and debentures in the new company, and has been credited with $197.69 from the old company. You now have in the new company, called the "Ogden Transit Company” 187 shares of stock and $2338.40 par value of debentures/ The stock certificate will be placed in your safety deposit box and mature in years the debentures awaiting payment. be retired in full 10 will be held +t is anticipated that over the course of the and yield 6% interest. in the Company vault these debentures will next few years; they As you know, the rail system of the old Utah Rapid transit Company has been abandoned and the new Osden Transit Companyis operating with buses. You will be pleased to know that the Company is doing well and we believe that the investment that you have is of real value. Company its in A number of years ago the interests of the Browning the Ogden Rapid Transit Company were distributed to stockholders so that the Company has very little interest in the Ogden Transit Company. The combined interests of the Brownings represent about 25% of the Ogden Transit Company, which is of course important from the standpoint of taking part in the operations of the Company. In order that we may have the power of pe liebe Yo May 703 . voting this stock at the annual meetings, we are sending a "Continuing Proxy" to each of the stockholders of our Company with a request that it be signed and returned to this office. Those in the 7.M. Browning family will be made out to Val A. Browning and those of the M.S. Browning family will be made out to M.A, Browning. Your proxy is enclosed and, if asree~ able, you may sign and return it. The proxy, when signed, will be filed with the Ogden Transit Company and will remain in full force and effect until written notice of revocation is filed with that Company. This will avoid the trouble of getting proxies each year from the various stockholders, With love and best wishes, Sincerely, April Mrs. Louie B. Ford, 25th St. 9 Li82-=- 7 2 eee Dear 53,1957. Louie: A distribution has been made as of April and certain of the stocks It is requiring some time and take care of the mass distribution, and of certain assets of the fanily trust lst. This is a distribution of cash and bonds which were held by the trust. to make transfers of stock certificates of details in connection with this a detailed report including the Trustees reasons for making the distribution and also the amounts which have been distributed will be sent to you as soon as all material is available, together with your share of the cash, stocks and bonds. there remains in the trust, after this prelininary distribution, 1217 shares of preferred stock of the J.M. & M.S. Browning Company. As you know, income tax laws have become very drastic and we have therefore been figuring out ways and means of avoiding themas much as it is legally possible to do so, Marriner is recommending to his side of the fanily that the Company preferred stock in their fanily trust should be distributed, with a view of each one of us distributing his or her share to the children, As there are 7 of us, each ones share would amount to 173 in 6/7 the shares trust, of this it stock would anount and, to if we left 173 shares the each. fractional anounts | it is my intention to distribute this among my children and thereby save considerable income tax and inheritance tax later on. Hach one of your cases is somewhat different since the number of children varies and the amounts which you might care to distribute would vary also, of this f am Company writing stock this so letter sas to and then set before the making ideas of any each distribution one as to how you would care to have it distributed. There are reasons why this should be distributed very soon. Please write me at once your ideas. ZI will be glad to offer any suggestions which I can in your to in individual case, your desires. Please making the transfers. With write me make at the once love, Sincerely, distribution so there will according be no delay lirs. Louie B. c/o Monida B.
