CLUB OF OGDEN, UTAH CONSTITUTION AND - BY-LAWS Article| - Name: The Drama Club of Ogden (founded in 1916) Article Il - Purpose or Purposes: @ (a) Shall be the united effort toward the study of the spoken and lyric drama. (b) To create a sympathy for the highest form of the dramatic and lyric art, creating a permanent taste for good drama. Aricie iti - Membership: Section 1. Membership, limited to 35 members shall be of two classes; active and sustaining. The needs of the Club's purpose and program must govern the selection of candidates to be voted upon. Readers, actors, artists, musicians, writers, executives, etc., shall be preferred as they are needed. Section 2. A candidate for active membership must have been a resident of Ogden area for one year or more. Section 3. Nomination of prospective members shall be presented to the membership com- mittee in writing, stating their qualifications and signed by three sponsors at least one week before being presented to the Club. Voting shall take place at the next regular meeting after the name is presented to the Club members. Section 4. Elections shall be by ballot and three negative votes shall exclude a candidate from membership. Section 5. Names of rejected candidates shall not be presented again within a year. be ) Section 6. Active members shall consider themselves honorbound as far as possible to study the subject under consideration by the Drama Club, to perform literary, musical, or committee work assigned them. Should a member be unable to serve where assigned, she should notify her chairman, and obtain a substitute if desired. Hostesses should be informed of excused absences prior to the meeting. Section 7. Sustaining membership may be conferred upon any member who has become a nonresident temporarily; a member who is physically unable to attend regular meetings; or one whose vocation prevents regular attendance. Recommendation for Sustaining membership shall be made by the membership committee and voted upon by the Club. Sustaining members are entitled to all privileges to Active memberShip except that of voting. A sustaining member has preference in becoming an active member when vacancies occur in the active membership role. i Article IV - Officers = Section 1. The officers of this club shall be a president, vice-president, recording secretary, corresponding secretary, treasurer, auditor, historian-custodian, and a parliamentarian, named by the president. They constitute the Executive Committee. shall Section 2. Officers shall be elected at the March meeting. The regular term of all officers shall commence at the adjournment of the last meeting of the Club year and continue one year. Section 3. A majority of all votes cast will be necessary to constitute an election. Section 4. No member shall hold the same office for more than two consecutive terms. 5 Section 5. @ Vacancies of officers may be filled by vote of the members. Articles V - Meetings: Section 1. The annual meeting shall be held in May, at which time the annual reports of the officers Shall be read and filed with the secretary . Section 2. Regular meetings shall be held from September through June, with guest day as planned by the program committee. Section 3. In August, the president shall call a mee ting of the Executive Committee, together with the past president, past treasurer, chairman for Program Guest Day, Christmas party, and June Breakfast to set up a budget for the coming year and review governing poli cies. The past treasurer shall make a fina ncial report at this meeting. Other special meetings may be called by the president as needed. Article Vi - Quorum: Section 1. One-third of the active membership of the Club shall constitute a quorum at any regu lar or annual meeting, but at no time shall lack of a quorum at a regular meeting pre vent those present from Proceeding with the program of the day. Article Vil - Amendments: Section 1. This constitution may be amended at any regular meeting by a two-thirds vote of all active members Present, provided the proposed amendments have sented to the membership meeting. Section 2. been pre- at a previous By-laws and policy motions may be adopted, amended, or repealed at any regular meeting by a two-thirds vote by those present. 3 BY-LAWS Article | - Dues: @ Section 1. The annual dues of active members shail be $10.00, and those of sustaining members $5.00, payable at the first meeting in September. Any member elected to active membership after Marchi st shall be exempt from payment of dues for the current year. Section 2. Hostess fees for special events shall be $5.00. Article Il - Duties of Offices: e Section 1. The duties of the officers shall be such as are implied by their respective titles and such as are specified in these By-Laws. The PRESIDENT shall preside at all meetings and be an ex-officio member of all standing committees. She shall be custodian of the two Drama Club gavels and the framed die piate during her term of Office. a Section 3. The VICE-PRESIDENT shall perform the duties of the president in her absence. She shall be a member of the program comitteee and as president-eledct shall appoint a parliamentarian and all standing committees for the following year. g Section 4. The RECORDING SECRETARY shall keep minutes of each meeting, keep an accurate list of the membership of the Club, with the address and telephone number of each member. She shall notify by letter members who have three un-excused absences, inquiring their membership intent. She shall incorporate inio her annual report a digest of all motions made through the year which affect the government of the Ciub and file them in the secretary book. 4 Section 5. The CORRESPONDING SECRETARY shall be custodian of the Yearbooks, Constitution, and By-Laws. At the time of the June Breakfast she shall dispense the new Yearbooks to each member present. To those not present, she shall send a copy by mail or deliver in person. She shall notify new members of their election by letter; send a Christmas party, and a June Breakfast invitation to sustaining members; and conduct other correspondence of the Club. Section 6. The TREASURER shall receive, give receipts, and keep a record of all dues paid. She shail notify by January all members whose dues are delinquent. Committee. She shall keep She shall handle ali monetary transactions of the Club. Bills shall be sent to the treasurer and paid upon order by the Club or its Executive an itemized account of all receipts and disbursements. She shall submit a financial report at the annual meeting and an audited report to be filed in the Secretaries book at the following September meeting. Seciton 7. The AUDITOR shail examine the Treasurer's books and make a report of her audit at the following September meeting. Section 8. The HISTORIAN-CUSTODIAN shall keep a scrap-book record of clippings of the Club's activities, and items of interest pertaining to members. She shall have charge of all Club properties. Section 9. The PARLIAMENTARIAN shall in case of any question of procedure, bring to the attention of the Club those provisions of the Constitution, By-Laws, or Policy Motions that govern the situation, and be familiar at all times with the new rules and regulations. She shall also be Chairman of the By-Laws Committee. At the September meeting she 5 shall review those governing policies in the Constitution and By-Laws requested by the President. & Article Ill - Committees: There shall be the following committees: Membership: Current Year's Program; Next Year's Program; Press; Play; Courtesy; Finance; Nominating; and By-Laws. Such other committees shall be named as needed. Section (a) 1 The Membership Committee shall receive all applications for membership, investigate the qualifications of applicants, and report recommendations to the Drama Club. the same number of candidates Only as vacancies shall be presented for voting. Names may be carried over from year to year on a waiting list or until acted upon by the Membership Committee. There shall be no record in the minutes of names presented for membership and a proposed member shall not be advised of her candidacy. The result of the ballot shall be given by the tellers to the President, who in turn will announce to the members the result of the ballot, if in the affirmative. The Chairman of the Membership Com- mittee shall introduce the new member at her first regular meeting and present her with a copy of the Constitution and By-Laws and a Year Book. Section 2 (a) The Program Committee for the ensuing year shall recommend subjects for study not later than the January meeting for the approval by the Club. They shall prepare a calendar of literary and musical works for the coming year. PS The Drama Club logo shall be used on the first page of the Year Book. In preparing the Year Book more popular civic dates should be avoided, and an additional check should be made at the September meeting for other conflicts. Adjustments should be made at that time. When the need arises. guest performers may be asked to participate in the program. The hostess and the President should be notified. Reservations for the Christmas Party, June Breakfast, and Guest Night must be made a year in advance. Section 3. The press newspaper Committee as to time, shall inform the subject, place of meeting, and such news of interest to the public. The Press Committeee shall meet the schedules of the newspaper in submitting such information. Section 4. The Play Committee shall recommend and be responsible for the development and enaciment of a play or a series of plays during the year. Section 5. The Courtesy Committee and the President Shall be informed of members who are ilf or in distress. An appropriate expression of remembrance shall be sent. Section 6. (a) The Finance Committee shall be composed of four officers, namely the Presideni, Vice-President, Secretary, and Treasurer. Special events shall be self financing as far as possible. (c) The Club shall make contributions only to those causes that further the arts, provided such contributions stay within the budget. Section 7. The Nominating Committee consisting of the President, Vice-President, and immediate past president, shall at the March meeting present a single slate of officers with the exception of the President. The current vice-president shall automatically become the incoming president. The current treasurer shall become the incoming auditor. Further nominations shall be called from the floor and a vote shall be taken. Permission from all candidates shall be obtained in advance. x Section 8. The By-Laws Committee shall review the Constitution, By-Laws, and Policy Motions and recommend changes if necessary. Article IV - Meetings Secition 1. Regular meetings shall be held on the fourth Thursday of the month, beginning in September, unless otherwise specified. : Section 2. . The agenda for meetings shall include: Roll Call, reading and approval of minutes, any committee reports, unfinished and new business, program of the day, and adjournment. Section 3. : , Meetings shall be conducted in accordance with Robert's Rules of Order, Revised. |
