Littlefield, Chairman of the Board Utah International Inc. 550 California Street San Francisco, California 94104 Dear M. Littlefield: I have been a shareholder of Utah International for a number of years, having received Utah stock at the time of the merger of Lucky Mc Uranium Corporation into Utah. I have been a supporter and admirer of Utah and its management during this entire period. I feel that Utahs record of achievement, particularly in recent years, has been, by any standard, a truly outstanding performance. It is therefore, with a great deal of personal regret and reluctance that I have voted against the merger of Utah into General Electric Company. I might add that, as a shareholder of General Electric, I have voted for the merger. After reviewing the joint proxy statement, I have come to the conclusion that the merger would benefit the General Electric shareholders, but would work to the detriment of the Utah shareholders. My principal reasons for coming to this conclusion are the following: 1. Based on your recent earnings statement of 3 December showing net income for Fiscal Year 1976 at $5.67, you are proposing to sell Utah at less than twelve times its current earnings, compared to its historic price earnings ratio of seventeen. 2. Over the past sixteen years, the price of Utah shares has increased from $4.00 to $65.00 per share. During the same period, General Electric has remained essentially unchanged, at approximately $50.00 per share. Those of us who are Utah shareholders, because of its significant growth, are now faced with holding a sterile investment in General Electric, or being forced to face the capital gains tax problems which would result from the sale of General Electric or Utah shares. |
