Show Today's statement by the Department responds to a subsequent business review request of August 18, 1976 by General Electric and Utah International under the Antitrust Division's business review procedure for an expression of the Division's present enforcement intentions regarding the proposed merger as restructured. The merger arrangement now proposed provides that General Electric and Utah International will transfer Utah's entire uranium business to a new company divorced from the management and control of General Electric and Utah. General Electric Will retain ownership of the common stock of the new company but the common stock will be deposited in a trust to be voted by independent trustees until the year 2000. The new company will be prohibited from selling uranium to General Electric or any of its affiliates. Under the business review procedure, a firm or organization may submit a proposed course of action to the Division and receive a statement as to whether the Division would challenge the proposed course of action as a violation of federal antitrust laws. Harrison said that the Department's response to the request was announced today because of the public interest in the proposed merger. - 2 - |
