OCR Text	Show SECRETARY PROCEED AS A SPECIAL MEETING OF STOCKHOLDERS OF UTAH INTERNATIONAL INC. CHAIRMAN THE CHAIR APPOINTS MR. J. B. NIELSEN AND MR. JOHN SWINEHART OF UTAH INTERNATIONAL INC. AND MR. DENNIS CONCA OF CROCKER NATIONAL BANK, INSPECTORS OF ELECTION TO INSPECT THE SIGNED PROXIES AND CREDENTIALS PRESENTED TO THE MEETING AND TO CONDUCT THE VOTING, TO RECEIVE AND COUNT THE VOTES AND TO DETERMINE THE RESULT OF THE VOTES AT THE MEETING. IN THE NOTICE OF SPECIAL MEETING AND THE ATTACHED PROXY STATEMENT THE ONLY ITEM OF BUSINESS TO BE CONSIDERED BY THE STOCKHOLDERS IS A PROPOSAL FOR THE ADOPTION AND APPROVAL OF THE AGREEMENT AND PLAN OF REORGANIZATION AND AGREEMENT OF MERGER, AS AMENDED, BY WHICH UTAH INTERNATIONAL INC.
