59 financial managers had digested enough statistics that we decided, each of us, that we should approach our Boards of Directors and inform them of our discussions and get from them their views and if they were interested in our proceeding their authority to actually negotiate a definitive agreement. We called a special meeting of our Board of Directors, I believe the date was December the fifteenth of 1975, reviewed the whole situation with them and they were most enthusiastic about the prospects and they gave us the authority to conduct a detailed investigation now involving many people and to proceed to a definitive merger agreement. On that same day and at that same hour, because we met at five o'clock in New York, I belive it was, and they met at two o'clock in San Francisco, the Utah Board met and reached the same conclusion and immediately, of course, we went public with the information because we had now reached a definitive stage of discussion. Up till now, or up to that date, these had simply been exploratory discussions as to feasibility. We now had been authorized by our Boards to conduct an intensive investigation and proceed into negotiations for a definitive merger agreement so, of course, we immediately went public. We both went public,
