Show 6. are fairer to the shareholders than the performance unit. Certainly one way is payments of bonuses. These can be paid currently in cash or deferred or paid in restricted stock or combinations of cash and restricted stock. Payments in cash can be tailored to the performance of specific goals if this is deemed desirable. It has always seemed to me that the use of restricted stock for the payment of incentive compensation combined with cash bonuses had much to recommend it. a) The restricted shares are not taxable to the recipient until the restrictions are removed. The value of the shares at the time the restrictions are removed is taxable as earned income. Any increase in value thereafter is taxable as a capital gain. (The employee can if he chooses elect to pay the tax at the time the award is made even though the restrictions remain but few do this in practice.) Even while the restrictions are in effect the plan can provide that dividends are paid to the awardee who also can vote the stock. Thus the employee is a shareholder except for his right to sell the shares. When the restrictions are removed, the tax is due if it has not been previously paid. If the shares are lower in value than they were at the time of the reward, the employee at least has the consola- tion that the government shared in his loss since the |
