Show These moves seem to mollify most critics without unduly hindering management's capacity to continue to do business as usual. And one popular new committee - the Nominating Committee - may actually have done some good. Designed to meet the charge that the CEO controlled the board instead of vice versa - the Nominating Committee found it had to face up to some tough choices. Most of the nominations received from the shareholders in general were easily dealt with since most were nominating themselves. Their qualifications made for easy answers. But even incumbents up for renomination to the Board had to be scrutinized carefully. The Committee couldn't really nominate "Old Joe," who by public record had only attended 25 percent of the meetings. Nor could the Nominating Committee name "Old Bill," whose name had been so much in the news that it had become a household word and the word wasn't "Mr. Clean." The committee also discovered to its amazement that good directors could be of either sex and of different colors. But our topic, you will recall, is "Enjoying the Corporate Climbe." No one can really enjoy the corporate life without a sense of job security. The perceived threat to this security is not from the inside. Here the CEO already has demonstrated his ability to survive within his own company's corporate jungle. It is to be hoped that he has surrounded himself with bright, capable people to do his work for him. These people may not wish him to last forever, but it serves their purposes not to see him toppled from the throne in untimely fashion by insurrection or mutiny-from-within. All feed from the 12 |
