Show stock. Your tender will have caused a feeding frenzy among those who love to swim in shark-infested waters. Along with the management they will surface all sorts of other buyers for all or parts of the company. One of the early players likely to appear is the leveraged buyout specialist. He will suggest to the management that it buy the company with financing he will provide. A high percentage of the funds will be borrowed. The lenders will get an "equity kicker" as a reward for making the loans. L30 specialists will get a "carried interest" because they furnish the brains and the financial creativity for the managers of institutional funds that provide most of the money. Their package will be attractive to the target's management who will emerge with a much larger ownership position than it had when the company was public. This helps overcome any concerns the management may have had in buying the shares for its own account from the shareholders whose interests management was honor bound to protect. This solution is not available to every target because the LBO specialists tend to be smart operators who will only back managements that are deemed capable. This narrows the field. Don't get too cute competing with LBO specialists. They may be brighter than you are. If the management can't swing an LBO, the "white knight" is a favored choice to rescue the company from its distress. White knights are invited to join the fray by management. By definition "white knights" have personality characteristics more pleasing to the target's management than those possessed by you, the raider.
