Show research, and development. Sadly, sometimes these end up as losers -- at least for the moment -- no matter which side wins. Increasingly the question is being raised as to whether all this activity triggered by hostile takeovers is serving society well. So far public policy responses have been ambiguous. The reason that there has been no effective federal regulation to curb hostile takeovers is because no one has figured out how to distinguish between a manipulative hostile financial takeover of the type I have been describing and the very necessary activities of acquisitions and dispositions, downsizing and restructuring, management changes and reorganizations that are so essential to restore U. S. competitiveness here and abroad. But it is hard to make the case that society is well served by managements that feel forced to concentrate on obtaining short-term results at the expense of the long term either to avoid being raided or to service the burdens that they have assumed as a consequence of a raid. It is difficult to justify the manipulative financial raid because it rarely creates additional value. It simply transfers wealth from one group of corporate stakeholders to another or accelerates the time when the inherent values are realized that ultimately would have been realized anyway. But other forms of mergers and corporate restructuring do create value and are making corporate America more efficient by bringing in economies of scale, eliminating duplication and waste, refocusing corporate strategies more sharply, and often improving the quality of management. Increased productivity can cut costs, lower prices, and ultimately create new jobs. 13. |
