Show 14. CONSENT TO SERVE. THIS IS INDEED AN UNFORTUNATE DEVELOPMENT. IT HAS SLOWED BUT NOT STOPPED THE CLEAR TREND TOWARD THE INCREASING USE OF OUTSIDE DIRECTORS, A DEVELOPMENT I PERSONALLY FAVOR. AS RELUCTANCE TO SERVE ON BOARDS HAS GROWN, CORPORATIONS HAVE MOVED TO COUNTER THIS BY RAISING THE REWARDS AND REDUCING THE RISKS IN THE HOPE OF RETAINING THE DIRECTORS THEY HAVE AND ATTRACTING THE DIRECTORS THEY WANT, RAISING THE REWARDS IS PERHAPS OF LIMITED EFFECTIVENESS, SINCE THE FINANCIAL REWARDS, NET AFTER TAXES, HAVE NOT BEEN A STRONG INDUCEMENT TO MOST DIRECTORS TO SERVE. HOWEVER, THERE HAS BEEN A DEFINITE TREND TO INCREASE IN VARIOUS WAYS THE FINANCIAL COMPENSATION TO DIRECTORS.
