SO IT IS UNDERSTANDABLE THAT IN PRACTICE THERE IS WIDE VARIATION IN HOW THE BOARD ACTS IN MANAGING THE CORPORATION'S AFFAIRS AND THE WAY THE BOARD RELATES TO TOP MANAGEMENT. BOARDS HAVE BEEN CRITICIZED FOR DOING TOO LITTLE, LEAVING TOO MUCH TO MANAGEMENT, BEING DOMINATED BY MANAGEMENT, ACTING ONLY IN CRISIS SITUATIONS AND PERHAPS THEN ACTING TARDILY. IT IS MY BELIEF THAT THE DIRECTORS HAVE THE ULTIMATE RESPONSIBILITY TO PROTECT AND TO ENHANCE THE LONG RANGE INTERESTS OF THE SHAREHOLDERS. IMPLICIT IN THIS IS THE FACT THAT THE DIRECTORS MUST ACT AS THE CORPORATE CONSCIENCE AND MUST SEE TO IT THAT THE AFFAIRS OF THE CORPORATION ARE CONDUCTED IN HARMONY WITH THE PUBLIC INTEREST AND WITH SOCIETY OBJECTIVES AS THESE ARE DEFINED AND REDEFINED FROM TIME TO TIME.
