Show 22. COMMISSION HAS CHOSEN TO UTILIZE THE CLAYTON ACT IN WAYS THAT CAN AND HAVE CAUSED THE REMOVAL OF DIRECTORS FROM INTERLOCKING BOARDS DEEMED TO BE IN COMPETITION, NO MATTER HOW INSIGNIFICANT OR REMOTE THE COMPETITION IS. AS VACANCIES OPEN UP ON THE BOARD, GREATER CARE AND ATTENTION ARE BEING GIVEN TO THE NOMINATING PROCEDURE AND OUTSIDE DIRECTORS ARE INCREASINGLY INSISTENT THAT THEIRS IS THE FINAL SAY IN THE NOMINATING PROCESS. SOMETIMES THIS IS DONE BY A SPECIALLY APPOINTED NOMINATING COMMITTEE AND OTHER TIMES BY THE FULL BOARD. IT IS NOT AS TRUE AS IT ONCE WAS THAT THE CHIEF EXECUTIVE OFFICER CONTROLS THE SELECTION PROCESS ON NEW DIRECTORS. THERE ARE OTHER SUGGESTIONS FOR CHANGE - THE TWO-TIERED BOARD SUCH AS WE FIND IN GERMANY; PROVIDING THE OUTSIDE DIRECTORS WITH SPECIAL COUNSEL OR SPECIAL STAFF; OR CHANGES IN THE PROXY PROCESS BY WHICH SHAREHOLDERS COULD MORE EASILY PRESENT NOMINEES |
