INSOFAR AS I AM PERSONALLY CONCERNED I AM NO LONGER WILLING TO SERVE ON A BOARD WHERE OWNERSHIP OF THE CORPORATION IS WIDESPREAD UNLESS THAT BOARD HAS A MAJORITY OF OUTSIDE DIRECTORS AND UNLESS THAT BOARD CONTROLS THE PROCESS BY WHICH NOMINATIONS TO THE BOARD ARE PRESENTED FOR APPROVAL. BECAUSE THERE ARE DIFFERING VIEWS AS TO WHOM THE BOARD REPRESENTS AND AS TO WHAT THEIR JOB SHOULD BE, IT IS NOT SURPRISING THAT THERE ARE ALSO WIDELY DIFFERING VIEWS REGARDING WHO THE DIRECTORS SHOULD BE AND HOW THEY SHOULD BE SELECTED. THE RECORD CLEARLY SHOWS THAT IT HAS BEEN THE CUSTOM FOR MOST DIRECTORS TO BE CHOSEN FROM THOSE WHITE MALES WHO HAVE ACHIEVED SOME RECOGNITION FOR THEIR ACCOMPLISHMENTS AND WHO ARE PERSONALLY KNOWN OR KNOWN BY REPUTATION TO THE EXISTING DIRECTORS. THIS IS CALLED CRONYISM BUT IT IS NOT UNNATURAL FOR DIRECTORS TO NOMINATE THOSE |
