THE BOARD IS THERE TO ADVISE AND COUNSEL MANAGEMENT, TO KEEP MANAGEMENT FROM MAKING MISTAKES, TO ACT IN CRISIS SITUATIONS, AND ABOVE ALL TO REMOVE MANAGEMENT THAT IS UNSATISFACTORY AND TO SELECT MANAGEMENT THAT WILL BE SATISFACTORY. IT IS IN RECOGNITION OF THIS RESPONSIBILITY FOR THE SELECTION OR REMOVAL OF MANAGEMENT THAT THE TREND IS DEMONSTRABLY MOVING TOWARD GREATER USE OF OUTSIDE DIRECTORS.
