THERE ARE ALSO THOSE WHO WOULD ADVOCATE GREATER USE OF PROFESSIONAL DIRECTORS OR THE WORKING DIRECTOR, A SPECIAL CLASS OF DIRECTOR WHO SPENDS A SUBSTANTIAL PORTION OF HIS TIME WORKING AT THE JOB OF BEING A DIRECTOR WITHOUT IN TURN HAVING MANAGEMENT RESPONSIBILITIES SUCH AS THOSE ASSIGNED TO THE INSIDE DIRECTOR. CORPORATIONS HAVE MOVED TO CHANGE THE COMPOSITION OF BOARDS OF DIRECTORS. ENFORCED RETIREMENT OF DIRECTORS ON A BASIS OF AGE HAS COME INTO INCREASING FAVOR, EVEN THOUGH THE LIBERAL USE OF GRANDFATHER CLAUSES DELAYS ITS IMPACT. ON THEIR OWN COMPANIES HAVE MOVED TO ADOPT POLICIES DESIGNED TO ANTICIPATE AND TO PREVENT CONFLICTS OF INTEREST ON THE PART OF OUTSIDE DIRECTORS AS WELL AS EMPLOYEES AND, AS I CAN PERSONALLY TESTIFY, THE FEDERAL TRADE |
