We also made some modifications in the tenure policy to insure that we were not relying too heavily on mortality to maintain the proper amount of turnover on the board. If we were well satisfied with ourselves as directors, we were less satisfied with what we were doing. For the better running of the institution we advocated a number of organizational and procedural changes. We recommended that the members of the Wells Fargo Bank International Corporation board should also serve a committee having responsibility for supervision of the international activities of the bank, thereby allowing them to taste the frosting as well as the cake. With a sense of compassion we rescheduled the meeting dates of the bank board so management wouldn't have to work so hard to get the figures to us on time. We cut down the number of matters to be reported to the board and to the Executive Committee, raised the loan reporting limits as well as the loan charge-off and recovery reporting limits, and in this area I should report that we have encountered no opposition whatsoever from John Holman. We set the holding company board meetings quarterly and cut in half the number of meetings of the Executive and Trust Committees. Having cut down the amount of work that the directors were called upon to do and the number of meetings that they had to attend, it seemed appropriate to subtly suggest to the Compensation Committee that they should raise the pay of the directors. The Compensation Committee did meet us part way but were not yet ready to consider the directors' hardship cases. |
