OCR Text	Show 13. TAKING THE LAST QUESTION FIRST, CERTAINLY ONE OF THE CAUSES OF THE CHANGES THAT HAVE TAKEN PLACE IS THE GREATER RECOGNITION OF THE LIABILITY THAT CAN BE ATTACHED TO BOARD SERVICE. LIABILITY HAS ALWAYS BEEN THERE IF THE DIRECTOR FAILED TO ACT IN A RESPONSIBLE MANNER BUT NEWER AND MORE EXTENSIVE LEGISLATION, RECENT COURT DECISIONS, AND ACTIONS TAKEN BY ADMINISTRATIVE AGENCIES HAVE MADE THE INDIVIDUAL DIRECTOR MUCH MORE CONSCIOUS OF THE RISKS THAT HE WAS ASSUMING WITH BOARD SERVICE AND WITH THIS GREATER RECOGNITION OF THESE RISKS A GREATER RELUCTANCE TO ASSUME THEM. THIS IN TURN HAS LED TO A SECOND CHANGE, NAMELY INCREASED DIFFICULTY IN ATTRACTING GOOD OUTSIDE DIRECTORS TO BOARD SERVICE. THE HIGHER PROFILE OF THE HAZARDS OF BOARD SERVICE HAS MADE IT ALL THE HARDER TO CONVINCE SOME OF THE VERY ABLEST THAT THEY SHOULD
